I am posting it to give everyone a chance to read over it.
HOLD HARMLESS AND LIABILITY WAIVER AGREEMENT
The Good Vibes Festival
July 18, 2026 | 10:00 AM – 5:00 PM
Location: The Marlowe Ruritan, 2133 Broad Lane, Falling Waters, WV
This Hold Harmless and Liability Waiver Agreement (“Agreement”) is entered into by and between the undersigned Vendor (“Vendor”) and The Good Vibe Dealer Custom Creations, The Good Vibes Festival, and Alana Linaburg (collectively referred to as “Event आयोजक/Hosts”).
By signing this Agreement, the Vendor agrees to the following terms and conditions:
1. ASSUMPTION OF RISK
Vendor understands and acknowledges that participation in The Good Vibes Festival involves inherent risks, including but not limited to personal injury, property damage, theft, weather-related hazards, and other unforeseen risks. Vendor voluntarily assumes all risks associated with participation in this event.
2. HOLD HARMLESS AND RELEASE OF LIABILITY
Vendor agrees to fully release, indemnify, defend, and hold harmless The Good Vibe Dealer Custom Creations, The Good Vibes Festival, Alana Linaburg, event staff, volunteers, property owners, and affiliates from any and all claims, liabilities, damages, losses, costs, or expenses (including attorney fees) arising out of or related to:
* Personal injury or bodily harm
* Theft, loss, or damage of personal property
* Damage to vendor equipment, inventory, or displays
* Acts of other vendors, attendees, or third parties
* Weather conditions or Acts of God
* Any incident occurring before, during, or after the event
3. PROPERTY AND EQUIPMENT RESPONSIBILITY
Vendor is solely responsible for the security, condition, and maintenance of their own property, equipment, merchandise, and setup. The Event Hosts are not responsible for any lost, stolen, or damaged items under any circumstances.
4. INSURANCE (IF APPLICABLE)
Vendor understands that the Event Hosts do not provide insurance coverage for vendors. Vendor is encouraged to obtain their own liability and property insurance.
5. COMPLIANCE WITH LAWS
Vendor agrees to comply with all applicable federal, state, and local laws, regulations, and ordinances, including but not limited to sales tax requirements, permits, and licensing.
6. SETUP, OPERATION, AND TEARDOWN
Vendor agrees to follow all event rules regarding setup and teardown times and procedures. Vendor will maintain a safe, clean, and hazard-free space at all times.
7. CONDUCT
The Good Vibes Festival promotes a positive and respectful environment. Vendor agrees to conduct themselves in a professional manner. Event Hosts reserve the right to remove any vendor without refund for inappropriate, unsafe, or disruptive behavior.
8. NO GUARANTEE OF SALES
Vendor understands that participation in the event does not guarantee sales, profit, or attendance levels.
9. WEATHER POLICY
This is a rain or shine event. Vendor acknowledges that no refunds will be issued due to weather conditions or other uncontrollable circumstances.
10. INDEMNIFICATION
Vendor agrees to indemnify and hold harmless the Event Hosts from any claims resulting from Vendor’s participation, negligence, actions, or failure to comply with this Agreement.
11. SEVERABILITY
If any provision of this Agreement is found to be invalid or unenforceable under West Virginia law, the remaining provisions shall remain in full force and effect.
12. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of the State of West Virginia.
13. ACKNOWLEDGMENT
By signing below, Vendor acknowledges that they have read, understood, and agree to all terms of this Agreement and voluntarily accept all conditions stated herein.
